These Terms & Conditions (“Terms”) govern the provision of services by Nascreatives (“Nascreatives”, “we”, “us” or “our”) to any individual, business, organisation or other entity purchasing or engaging our services (“Client”, “you” or “your”).

By requesting a quotation, accepting a proposal, placing an order, making a payment, approving work, signing an agreement, or otherwise instructing Nascreatives to provide services, you agree to be bound by these Terms.

If you do not agree to these Terms, you should not instruct Nascreatives to begin work.

These Terms should be read together with any quotation, proposal, statement of work, project brief, invoice, order confirmation or other written agreement issued by Nascreatives. Where there is a conflict between these Terms and a specific written agreement signed by both parties, the specific written agreement will take precedence to the extent of the conflict.

2. Definitions

For the purposes of these Terms:

“Client Materials” means any text, images, photographs, logos, trademarks, videos, documents, data, credentials, intellectual property or other materials supplied by the Client.

“Deliverables” means the final work specifically created and supplied by Nascreatives for the Client under an agreed project.

“Project” means the particular creative, design, digital or other service being provided.

“Services” means the services agreed between Nascreatives and the Client.

“Third-Party Materials” means fonts, stock images, software, plugins, templates, music, graphics, APIs, AI services, libraries, platforms or other materials owned or controlled by third parties.

“Working Files” means editable source files, development files, design files, raw footage, project files, code repositories, layered files or other files used by Nascreatives to create the Deliverables.

3. Formation of a Contract

A contract between Nascreatives and the Client may be formed when any of the following occurs:

  1. the Client accepts a written quotation or proposal;
  2. the Client signs a project agreement;
  3. the Client confirms instructions in writing;
  4. the Client makes a required deposit or payment;
  5. Nascreatives begins work following the Client's instruction; or
  6. Nascreatives otherwise confirms acceptance of the project.

Once the contract has been formed, these Terms will apply unless a separate written agreement states otherwise.

Verbal discussions may be considered during the project, but important changes to scope, pricing, deadlines or deliverables should be confirmed in writing.

4. Quotations and Proposals

Unless expressly stated otherwise, quotations and proposals issued by Nascreatives are valid for [30] days from the date of issue.

A quotation is based on the information available to Nascreatives at the time it is prepared.

If the Client changes the requirements, scope or specifications after a quotation has been issued or accepted, Nascreatives may revise the quotation accordingly.

Prices may change if:

  • the scope of work increases;
  • additional deliverables are requested;
  • additional revisions are required;
  • the project is delayed by the Client;
  • third-party costs increase;
  • additional software, licences or services become necessary; or
  • the original project requirements were incomplete or materially different from those provided during quotation.

5. Project Scope

The agreed scope of work will be set out in the relevant quotation, proposal, statement of work or project correspondence.

Nascreatives will make reasonable efforts to deliver the Services according to the agreed scope.

Work outside the agreed scope may be treated as additional work and may incur additional charges.

Examples of additional work may include:

  • additional concepts;
  • additional design variations;
  • additional pages or screens;
  • additional functionality;
  • additional rounds of revisions;
  • additional content;
  • additional meetings;
  • changes requested after approval;
  • changes resulting from altered requirements;
  • work requiring substantial reworking;
  • additional file formats;
  • additional research;
  • third-party integrations; or
  • work caused by incorrect or incomplete Client Materials.

Nascreatives will endeavour to inform the Client before significant additional charges are incurred.

6. Client Responsibilities

The Client agrees to:

  • provide accurate and complete information;
  • provide Client Materials in a timely manner;
  • provide appropriate feedback;
  • make decisions and approvals within reasonable timeframes;
  • ensure that instructions provided to Nascreatives are lawful;
  • ensure that Client Materials do not infringe third-party rights;
  • obtain necessary permissions, licences and consents for Client Materials;
  • provide access credentials where reasonably necessary;
  • appoint an authorised person to provide approvals where appropriate; and
  • cooperate reasonably with Nascreatives throughout the Project.

Nascreatives is not responsible for delays, additional costs or failures resulting from inaccurate, incomplete or late information supplied by the Client.

7. Project Timelines

Where a project timeline is provided, it will normally be an estimated timeframe unless expressly identified as a fixed contractual deadline.

Project timelines may depend on:

  • timely receipt of Client Materials;
  • timely feedback;
  • approvals;
  • payment of invoices;
  • third-party services;
  • technical requirements;
  • changes in scope; and
  • other circumstances outside Nascreatives' reasonable control.

If the Client delays the Project, Nascreatives may reasonably adjust the delivery schedule.

Where a Client does not respond to requests for information, feedback or approval within a reasonable period, Nascreatives may pause the Project until the required response is received.

8. Communication

Nascreatives may communicate with Clients through:

  • email;
  • telephone;
  • messaging services;
  • project management platforms;
  • video conferencing;
  • social media;
  • collaboration tools; or
  • other agreed communication channels.

The Client is responsible for ensuring that Nascreatives has accurate contact information.

The Client should review communications relating to project approvals, scope, costs and deadlines promptly.

9. Feedback and Approvals

The Client is responsible for reviewing work supplied by Nascreatives and providing clear and consolidated feedback.

Once a Deliverable has been approved by the Client, further changes may be treated as additional work.

Approval may be given expressly in writing or, where appropriate, through an agreed project platform or approval process.

Nascreatives will not normally be responsible for errors that were present in an approved Deliverable where the Client had a reasonable opportunity to identify those errors before approval.

10. Revisions

The number of revisions included in a Project will be specified in the relevant quotation or proposal.

A “revision” means a reasonable change to work presented by Nascreatives within the agreed scope.

A revision does not normally include:

  • changing the original brief;
  • introducing a substantially different creative direction;
  • restarting an approved concept;
  • adding new deliverables;
  • requesting substantially different functionality;
  • changing previously approved content; or
  • redesigning the work from scratch.

Additional revisions may be charged separately.

11. Client Content and Materials

The Client is responsible for ensuring that all Client Materials supplied to Nascreatives are accurate and lawful.

The Client warrants that it has the necessary rights, permissions and licences to allow Nascreatives to use Client Materials for the purposes of providing the Services.

This may include:

  • photographs;
  • logos;
  • trademarks;
  • written content;
  • music;
  • video;
  • illustrations;
  • fonts;
  • customer information;
  • databases;
  • product information; and
  • other intellectual property.

The Client agrees to indemnify Nascreatives against reasonable losses, claims or expenses arising from a third-party claim that Client Materials supplied by the Client infringe intellectual property, privacy or other rights, except to the extent that the claim results from Nascreatives' own unauthorised use or modification.

12. Intellectual Property

Intellectual property ownership will depend on the Project and the terms agreed with the Client.

Unless otherwise agreed in writing, Nascreatives retains ownership of its pre-existing intellectual property, processes, concepts, methodologies, templates, tools and Working Files.

Where the Client has paid all amounts due for a Project, ownership of specifically created final Deliverables may transfer to the Client where the quotation or agreement expressly provides for such transfer.

If ownership is not expressly transferred, Nascreatives grants the Client a licence to use the final Deliverables for the purposes agreed for the Project.

13. Working Files and Source Files

Unless expressly included in the agreed scope, Nascreatives is not required to provide Working Files or editable source files.

This may include:

  • Photoshop files;
  • Illustrator files;
  • Figma files;
  • InDesign files;
  • After Effects files;
  • Premiere Pro project files;
  • raw photography;
  • raw video;
  • editable templates;
  • development files;
  • source code;
  • design systems;
  • AI generation files; or
  • other internal production files.

Where source files are requested and Nascreatives agrees to provide them, an additional fee may apply.

14. Third-Party Materials

Projects may use Third-Party Materials.

These may include:

  • stock photography;
  • stock video;
  • fonts;
  • music;
  • software;
  • plugins;
  • templates;
  • APIs;
  • website hosting;
  • domains;
  • cloud services;
  • AI services; and
  • other licensed resources.

Third-Party Materials remain subject to the relevant third party's licence terms.

The Client agrees to comply with any applicable third-party licence restrictions.

Where a third-party licence is required for the Client's intended use, the cost may be payable by the Client unless expressly included in the agreed project price.

15. AI-Assisted Creative Work

Nascreatives may use artificial intelligence and machine-learning tools as part of its creative or technical workflow.

AI may be used for purposes including:

  • brainstorming;
  • concept development;
  • image generation;
  • text generation;
  • editing;
  • research;
  • transcription;
  • coding;
  • design exploration;
  • automation; and
  • other creative or technical tasks.

AI-generated or AI-assisted material may be subject to limitations concerning originality, ownership, licensing or third-party rights.

Where AI-assisted material forms part of a Deliverable, Nascreatives will take reasonable steps to ensure that the final work is suitable for the agreed purpose.

Unless expressly guaranteed in writing, Nascreatives does not warrant that AI-assisted content will qualify for exclusive copyright protection in every jurisdiction.

The Client should inform Nascreatives if a Project requires specific restrictions concerning AI use.

16. Website Design and Development

Where Nascreatives provides website design or development services, the agreed scope will determine what is included.

Unless expressly stated otherwise, website services may not include:

  • domain registration;
  • hosting;
  • email hosting;
  • ongoing maintenance;
  • third-party subscriptions;
  • premium plugins;
  • paid themes;
  • stock imagery;
  • copywriting;
  • photography;
  • SEO;
  • advertising;
  • legal compliance;
  • accessibility certification;
  • ongoing security monitoring; or
  • future software updates.

Third-party platforms and services may change their functionality, pricing, policies or availability.

Nascreatives cannot guarantee that third-party services will remain available or compatible indefinitely.

17. Website Maintenance

Unless a maintenance agreement has been agreed, website work is considered complete once the agreed Deliverables have been supplied and approved.

Ongoing maintenance, updates, troubleshooting, content changes, backups, security updates or technical support may require a separate agreement or additional charges.

18. Domain Names and Hosting

Where Nascreatives assists with domain names, hosting or other third-party services, those services may be subject to separate terms imposed by the relevant provider.

The Client remains responsible for renewing domains and third-party subscriptions unless Nascreatives has expressly agreed to manage them on the Client's behalf.

Nascreatives is not responsible for losses caused by:

  • domain expiry;
  • hosting suspension;
  • third-party service failure;
  • incorrect account information;
  • unpaid third-party subscriptions; or
  • changes made by third-party providers.

19. Payment Terms

Unless otherwise agreed in writing, invoices are payable within [7/14/30] days of the invoice date.

Nascreatives may require:

  • a deposit before work begins;
  • staged payments;
  • milestone payments; or
  • full payment in advance.

The required payment structure will be stated in the relevant quotation, proposal or invoice.

20. Deposits

Where a deposit is required, work may not begin until the deposit has been received.

Unless otherwise agreed in writing, deposits are payments towards the Project and are not automatically refundable where Nascreatives has already allocated resources, commenced work or incurred project-related costs.

Nothing in this clause removes any statutory rights the Client may have.

21. Late Payment

If an invoice is not paid by the due date, Nascreatives may:

  • suspend work;
  • delay delivery;
  • suspend access to relevant services;
  • withhold final Deliverables;
  • charge applicable interest where legally permitted;
  • recover reasonable costs associated with collection; and/or
  • terminate the relevant contract in accordance with these Terms.

Where applicable, Nascreatives may seek statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998 for qualifying business-to-business transactions.

22. Taxes

Unless otherwise stated, prices may exclude VAT or other applicable taxes.

Where Nascreatives is required to charge VAT, the applicable VAT will be added to the quoted price.

The Client is responsible for paying applicable taxes associated with its purchase of the Services, except taxes that Nascreatives is legally required to collect from the Client.

23. Suspension of Work

Nascreatives may suspend a Project where:

  • invoices are overdue;
  • the Client repeatedly fails to provide required information;
  • the Client becomes unresponsive;
  • the Client requests unlawful work;
  • the Project has materially changed from the original scope;
  • continued work would create a significant security or legal risk; or
  • circumstances outside Nascreatives' reasonable control prevent continued performance.

Work may resume once the relevant issue has been resolved.

Additional costs or schedule changes resulting from suspension may apply.

24. Cancellation by the Client

The Client may request cancellation of a Project by contacting Nascreatives in writing.

If a Project is cancelled after work has begun, the Client may be required to pay for:

  • work already completed;
  • work in progress;
  • approved third-party expenses;
  • non-refundable licences or purchases;
  • committed resources;
  • cancellation costs; and
  • other reasonable costs incurred as a result of the cancellation.

If the Client has paid more than the amount properly due following cancellation, Nascreatives will deal with any balance in accordance with applicable law and the specific circumstances of the Project.

25. Cancellation by Nascreatives

Nascreatives may terminate a Project or contract where:

  • the Client materially breaches these Terms;
  • invoices remain unpaid;
  • the Client engages in abusive, threatening or unlawful conduct;
  • the Client repeatedly fails to cooperate;
  • the Client requests work that Nascreatives reasonably believes is unlawful or unethical;
  • continuing the Project would expose Nascreatives to significant legal, financial or reputational risk; or
  • the Client becomes insolvent or ceases trading.

Where reasonably practicable, Nascreatives will provide written notice and an opportunity to remedy a breach before termination.

26. Refunds

Refunds will be considered in accordance with:

  • the applicable contract;
  • the agreed project terms;
  • the nature of the Services;
  • work already completed;
  • third-party costs incurred; and
  • applicable consumer protection law.

Where Services have been properly supplied or work has already been completed, the Client may not automatically be entitled to a refund simply because it subsequently changes its mind.

Nothing in these Terms is intended to exclude or restrict any statutory consumer rights that cannot legally be excluded.

27. Consumer Clients

If you are purchasing Services primarily for personal, domestic or household purposes rather than for your business or profession, you may have additional rights under UK consumer protection legislation.

Nothing in these Terms is intended to remove or restrict statutory consumer rights.

Where applicable, Nascreatives will provide information concerning:

  • cancellation rights;
  • the Services;
  • pricing;
  • delivery;
  • refunds; and
  • other required consumer information.

Different rules may apply to business customers.

28. Digital Content and Immediate Performance

Where Nascreatives supplies digital content or begins providing Services at the Client's request before the expiry of a statutory cancellation period, applicable consumer laws may require specific consent or acknowledgement from the Client.

Where applicable, Nascreatives will provide the relevant information and obtain any required confirmation.

29. Acceptance of Deliverables

A Deliverable will be considered accepted when the Client:

  • expressly approves it;
  • confirms that it is satisfactory;
  • publishes or uses it;
  • instructs Nascreatives to proceed based on it; or
  • otherwise confirms acceptance through an agreed communication channel.

Where the Client identifies reasonable issues within the agreed scope, Nascreatives will address them in accordance with the agreed revision process.

30. Portfolio and Marketing Use

Unless otherwise agreed in writing, Nascreatives may display completed work created for the Client in its:

  • portfolio;
  • website;
  • social media;
  • presentations;
  • case studies;
  • proposals;
  • marketing materials; and
  • award submissions.

Where a Client project is confidential or subject to a confidentiality agreement, Nascreatives will respect the applicable confidentiality restrictions.

The Client may request that a particular project remain confidential where appropriate, and the parties may agree suitable restrictions.

31. Confidentiality

Each party agrees to keep confidential information received from the other party confidential and not disclose it to third parties except:

  • with permission;
  • where necessary to perform the contract;
  • to professional advisers or service providers who are subject to appropriate confidentiality obligations;
  • where required by law; or
  • where the information is already publicly available through no breach of these Terms.

Confidential information does not include information that:

  • was already lawfully known;
  • becomes publicly available without breach;
  • is independently developed; or
  • is lawfully received from another source.

32. Privacy and Personal Data

Nascreatives may process personal information when providing its Services.

Personal information will be handled in accordance with Nascreatives' Privacy Policy and applicable data protection legislation.

Where Nascreatives processes personal data on behalf of a Client, additional data processing terms may apply.

The Client remains responsible for ensuring that personal data supplied to Nascreatives has been collected and disclosed lawfully.

33. Third-Party Service Providers

Nascreatives may use third-party suppliers, contractors, freelancers, software providers and technology platforms to provide Services.

These may include providers of:

  • hosting;
  • cloud storage;
  • payment processing;
  • email;
  • design software;
  • AI tools;
  • stock media;
  • analytics;
  • domain registration;
  • website plugins;
  • development tools; and
  • other business services.

Nascreatives will take reasonable care when selecting third-party providers but cannot guarantee the availability, performance or security of services controlled by third parties.

34. Client Accounts and Access Credentials

Where the Client provides passwords, API keys, administrator access or other credentials, the Client is responsible for ensuring that it has authority to provide that access.

Nascreatives will take reasonable steps to protect credentials received during a Project.

Where appropriate, the Client should provide temporary or limited-access credentials rather than permanent administrative credentials.

The Client remains responsible for maintaining appropriate security for accounts under its control.

35. Warranties

Nascreatives will provide Services with reasonable care and skill.

Where applicable, Nascreatives will use reasonable efforts to ensure that Deliverables substantially correspond to the agreed specifications.

However, unless expressly agreed otherwise in writing, Nascreatives does not guarantee that:

  • a design will achieve a particular commercial result;
  • a website will generate a particular number of visitors or sales;
  • marketing will produce a particular return on investment;
  • search engine rankings will reach a particular position;
  • social media content will achieve a particular level of engagement;
  • third-party platforms will remain available;
  • software will remain compatible indefinitely; or
  • the Client will achieve a particular financial or commercial outcome.

Creative and marketing results can depend on numerous factors outside Nascreatives' control.

36. SEO and Digital Marketing

Where Nascreatives provides SEO, advertising or digital marketing services, performance may be affected by factors including:

  • search engine algorithm changes;
  • advertising platform policies;
  • competition;
  • market conditions;
  • website performance;
  • Client budget;
  • audience behaviour;
  • third-party platforms; and
  • changes in consumer behaviour.

Unless expressly guaranteed in writing, Nascreatives does not guarantee a specific ranking, traffic level, lead volume, conversion rate, sales figure or return on advertising spend.

37. Artistic and Creative Judgement

Creative work necessarily involves subjective judgement.

Nascreatives will make reasonable efforts to understand the Client's requirements and produce work consistent with the agreed brief.

The Client acknowledges that reasonable creative differences of opinion do not necessarily constitute a failure to provide the Services.

38. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

This includes liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • fraudulent concealment; or
  • any other liability that cannot legally be excluded or limited.

Subject to the above, Nascreatives will not be liable for:

  • indirect loss;
  • consequential loss;
  • loss of anticipated profits;
  • loss of revenue;
  • loss of business;
  • loss of opportunity;
  • loss of goodwill;
  • loss of anticipated savings;
  • loss of data; or
  • business interruption,

except where such liability cannot legally be excluded.

To the extent permitted by law, Nascreatives' total aggregate liability arising from a Project will not exceed [the total fees paid or payable for the relevant Project / another agreed amount].

This limitation does not apply where prohibited by law.

39. Client Responsibility for Backups

The Client is responsible for maintaining appropriate backups of its own:

  • data;
  • website content;
  • documents;
  • source materials;
  • credentials;
  • databases; and
  • other important information.

Where Nascreatives provides backup services under a separate agreement, those services will be subject to the terms of that agreement.

40. Force Majeure

Nascreatives will not be liable for delay or failure to perform its obligations where the delay or failure results from circumstances beyond its reasonable control.

Such circumstances may include:

  • natural disasters;
  • severe weather;
  • fire;
  • flood;
  • power failure;
  • internet outage;
  • cyberattack;
  • widespread technical failures;
  • illness or incapacity;
  • industrial disputes;
  • government action;
  • war;
  • terrorism;
  • civil unrest;
  • major third-party platform failures;
  • supplier failures; or
  • other circumstances outside reasonable control.

Nascreatives will take reasonable steps to minimise the effects of such circumstances.

41. Changes to the Services

Nascreatives may make reasonable changes to its Services where necessary to:

  • comply with law;
  • improve security;
  • accommodate technological changes;
  • improve functionality; or
  • respond to changes in third-party services.

Where a change materially affects an agreed Project, Nascreatives will endeavour to discuss the change with the Client.

42. Assignment

The Client may not transfer or assign its rights or obligations under a contract with Nascreatives without Nascreatives' prior written consent, except where such restriction is prohibited by law.

Nascreatives may assign or transfer its rights or obligations where reasonably necessary as part of a business restructuring, sale or transfer of the relevant business or assets, subject to applicable law.

43. Subcontracting

Nascreatives may engage suitably qualified third parties or subcontractors to assist in delivering Services.

Nascreatives remains responsible for managing the Services it has agreed to provide, subject to these Terms and applicable law.

44. No Partnership or Agency

Nothing in these Terms creates a partnership, joint venture, employment relationship or agency relationship between Nascreatives and the Client.

Neither party has authority to bind the other unless expressly authorised in writing.

45. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified or removed to the minimum extent necessary.

The remaining provisions will continue in full force and effect.

46. Waiver

A failure by either party to enforce a right under these Terms does not constitute a waiver of that right.

A waiver will only be effective where it is expressly provided.

47. Entire Agreement

These Terms, together with the applicable quotation, proposal, statement of work, order confirmation and any other written agreement between the parties, constitute the agreement between Nascreatives and the Client concerning the relevant Services.

The Client confirms that it has not relied on any representation that is not expressly included in the agreement, except where such reliance cannot legally be excluded.

48. Changes to These Terms

Nascreatives may update these Terms from time to time.

Updated Terms will be published on the Nascreatives website and will apply to future Projects unless otherwise agreed.

The version of the Terms applicable to an existing Project will generally be the version agreed when that Project was accepted, unless the parties expressly agree otherwise.

49. Governing Law

These Terms and any contract between Nascreatives and the Client will be governed by the laws of England and Wales, unless applicable law requires otherwise.

Subject to any mandatory consumer rights, the courts of England and Wales will have jurisdiction over disputes arising from these Terms.

Where the Client is a consumer, nothing in this clause prevents the Client from exercising any mandatory rights available in the jurisdiction in which they live.

50. Dispute Resolution

If a dispute arises, both parties should first attempt to resolve the matter through good-faith communication.

The parties should provide reasonable details of the issue and allow the other party an opportunity to respond.

Where appropriate, the parties may agree to use:

  • negotiation;
  • mediation;
  • an alternative dispute resolution process; or
  • another mutually agreed method.

Nothing prevents either party from taking legal action where necessary.

51. Notices

Formal notices under these Terms should normally be sent by email or post using the contact details provided by the relevant party.

A notice sent by email will be considered received when it enters the recipient's email system, provided that the sender does not receive a delivery failure notification.

A notice sent by post will be considered received in accordance with applicable legal rules.
